1. Services Provided
Stillrun specializes in AI-powered customer acquisition, lead qualification, and local growth systems for business owners. Our services include, but are not limited to:
Database Reactivation: Automated outreach to past contact lists to convert dormant leads into active customers.
Search & AI Optimization: Local SEO and proprietary search positioning designed for Google and AI-driven search engines.
24/7 AI Reception & Booking: Automated handling of inbound/outbound phone calls, SMS text messages, emails, and direct messages to book appointments.
Lead Qualification & Verification: Automated filtering and intent verification to qualify prospects before they reach your schedule.
Review & Referral Automation: Automated customer campaigns to generate online reviews, repeat bookings, and client referrals.
Sales Pipeline & Funnel Buildout: CRM setup, lead tracking, conversion workflows, and sales automation.
The precise deliverables, timelines, and scope will be specified in your formal proposal, onboarding document, or Statement of Work (SOW).
2. Eligibility
By engaging our services, you represent and warrant that:
You are at least 18 years of age.
You possess the legal authority to enter into binding agreements on behalf of yourself or your company.
You have full legal permission to utilize, upload, and communicate with any customer contact lists or data you provide to Stillrun.
3. Client Responsibilities
Successful execution relies on timely collaboration. You agree to:
Supply accurate customer contact lists, logos, brand guidelines, and business data promptly upon request.
Grant necessary administrative permissions (CRM, Google Business Profile, messaging channels, ads accounts, and website hosting).
Ensure all customer lists provided comply with local telemarketing, privacy, and consent regulations (e.g., TCPA, CAN-SPAM, GDPR, or equivalent local opt-in rules).
Review and approve automated scripts, message copy, and appointment workflows in a timely manner.
Attend scheduled onboarding sessions and respond promptly to system checks.
Stillrun is not liable for performance delays or missed targets caused by slow approvals, inaccurate data, or restricted account access.
4. Payments and Billing
All services require adherence to agreed payment schedules.
A. Monthly Subscriptions & Retainers: Billed strictly in advance on a recurring schedule. Continued service access requires an active, paid invoice.
B. One-Time Setup & Onboarding Fees: Setup and integration charges cover immediate engineering, tool licensing, and labor, and are non-refundable once work has commenced.
C. Late or Failed Payments: Invoices unpaid after 3 business days may result in immediate suspension of outbound systems, AI bots, and live campaigns. Stillrun is not responsible for any lost leads or dips in booking volume during service suspensions.
5. Refund Policy
Because our work involves dedicated technical deployment, AI software licensing, labor hours, and immediate resource allocation, all fees paid to Stillrun are strictly non-refundable unless explicitly stated otherwise in a written, signed agreement or formal performance guarantee.
6. Scope & Revisions
Work is performed under defined operational boundaries:
Workflow, Script & Copy Revisions: Up to two (2) rounds of revisions included during the setup phase.
Funnel & Landing Page Adjustments: Up to two (2) rounds of structural adjustments included within the initial build.
System Reporting & Dashboards: Standardized live dashboards are provided; requests for non-standard custom reporting or out-of-scope manual audits will be billed at our prevailing hourly development rate.
Any work requested outside the agreed SOW requires written mutual consent and may incur additional charges.
7. Performance & Results Disclaimer
Stillrun builds, deploys, and manages high-performance lead generation systems. While we deploy proven frameworks and optimization techniques:
We cannot guarantee exact revenue totals, specific close rates, or uninterrupted call volume.
Performance outcomes depend heavily on factors outside our direct control, including your pricing, market demand, sales team speed-to-lead, customer service quality, in-person fulfillment, and local competitors.
Any past client results, case studies, or timeline estimates (such as "10+ new customers within 7 days") are operational benchmarks and do not constitute a blanket financial guarantee unless governed by an explicit written performance agreement.
8. Third-Party Costs, Messaging Fees & Ad Spend
All third-party platform costs—such as advertising spend (Meta, Google, TikTok), telephony/carrier fees (e.g., Twilio, SMS segment charges, call carrier fees), or external software subscriptions—are paid directly by the client.
Stillrun is not responsible for sudden third-party price increases, telecom carrier filtering/blocking, ad account suspensions, or platform policy restrictions.
9. Intellectual Property
A. Stillrun IP: All custom AI logic, automation blueprints, system workflows, cold outbound templates, SOPs, and proprietary code remain the exclusive intellectual property of Stillrun.
B. Client Assets: You retain full ownership of your registered trademarks, trade names, business lists, proprietary data, and marketing collateral provided to us.
C. Deliverables: Upon full settlement of all outstanding invoices, you receive a perpetual, non-exclusive license to use the front-facing landing pages and campaign workflows created specifically for your business.
10. Confidentiality & Data Protection
Both parties agree to protect and keep secret all proprietary information, client contact lists, pricing agreements, and marketing campaign performance data. Neither party shall disclose confidential materials to third parties without prior written consent, except where required by law. This obligation continues indefinitely beyond the termination of this agreement.
11. Third-Party Integrations & Platform Changes
Our services interact with third-party software and networks (including Google, Meta, GoHighLevel, Twilio, OpenAI, and various messaging channels). Stillrun is not liable for service interruptions, delivery bugs, platform outages, or policy changes enacted by these independent third parties.
12. Termination
Either party may terminate service by providing written notice according to the cancellation term specified in your client agreement (typically 30 days' advance notice).
Fees paid prior to termination are non-refundable.
Live AI phone bots, SMS agents, and proprietary automations managed under Stillrun accounts will be switched off at the conclusion of the paid billing period.
Outstanding balances must be settled in full before any handover of client-owned assets occurs.
13. Limitation of Liability
To the maximum extent permitted by applicable law, Stillrun, its directors, employees, and contractors shall not be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, lost appointments, carrier spam-flagging, ad account bans, or business interruption.
Our aggregate liability to you for any claim arising from or related to our services is strictly limited to the actual amount paid by you to Stillrun during the single billing cycle immediately preceding the event giving rise to liability.
14. Governing Law & Jurisdiction
These Terms shall be governed by and interpreted under the laws of the jurisdiction in which Stillrun operates its primary business entity, without regard to conflict of law principles. Any legal dispute or proceeding arising under these Terms shall be resolved exclusively in the competent courts within that governing jurisdiction.
15. Modifications to Terms
We reserve the right to revise or update these Terms at our discretion. Any modifications become effective immediately upon posting to www.stillrun.net. Continued use of our website or services following an update indicates acceptance of the revised Terms.
